Agoras Terms of Service

Version 1.0, effective 18.09.2026

1. Provider and parties

These Terms of Service ("Terms") govern the agreement (the "Agreement") between the natural person who creates an Account or orders a Plan (the "User") and Agoras, a sole proprietorship (eenmanszaak) under Dutch law, Grote Gracht 54 D 09, 6211 SX Maastricht, the Netherlands, registered with the Netherlands Chamber of Commerce (KVK) under no. 42158792, VAT identification no. NL005543436B32, e-mail mail@agor.as ("Agoras"). Agoras does not receive visitors; communication takes place by e-mail or through the Agoras Discord server.

2. Definitions

Service: the Agoras sourcing tool, meaning the web application at agor.as that monitors second-hand Marketplaces and displays Listings matching the User's Filters, including the dashboard, the Features below, the Members Chat, the Discord community, phone alerts and support.

Account: the User's personal login.

Plan: a paid monthly subscription tier (Starter, Standard, Pro or Premier) with the Features listed for it on the Pricing page at the time of the order.

Free Trial: temporary access without payment, currently 72 hours, granted at the discretion of Agoras via Discord.

Marketplace: a third-party online second-hand marketplace whose publicly visible listings the Service monitors, including the major Japanese marketplaces and European marketplaces such as Vinted, eBay, Vestiaire Collective and Kleinanzeigen.

Listing: an item offered by a Seller on a Marketplace, as displayed in the Feed.

Seller: the person offering a Listing on a Marketplace. Sellers have no contract with Agoras.

Proxy Service: a third-party purchasing and forwarding service through which the User buys on a foreign Marketplace. The User contracts with it.

Features:

Feed: the live list of Listings matching the User's Filters.

Filters: the User's search criteria (brand, keyword, category, price, Marketplace) that determine which Listings appear in the Feed; each Plan includes a maximum number of active Filters. Recommended Filters are examples provided by Agoras, not advice.

Real-time Vinted Monitor, Fastest Japanese Marketplace Monitor (Standard and above) and All marketplaces from all regions (Pro and above): the Features that add new Listings from the respective Marketplaces to the Feed shortly after publication.

Multi-Column View (Cross-Region) (Pro and above): several Marketplaces displayed side by side.

Spam / Fake Detection: a preselection by Agoras excluding Listings considered likely to be spam, fraudulent or from dealers, and the flag function with which the User hides a Seller's Listings from the User's own Feed.

Lens Button: opens the Listing photograph in Google Lens in a new browser tab. The image search takes place entirely on Google's service, under Google's terms.

Euro Conversion: display of a Listing price in euros at a third-party exchange rate, for orientation only.

Proxy Linking: a link to the Proxy Service Agoras estimates to be cheapest for a Listing.

Buy via dashboard: opens a Listing on the Marketplace or Proxy Service, with the User's data prefilled where possible, so the User completes the order there.

Phone alerts: notifications to the User's phone when a Listing matches a Filter.

Autobuy (Pro and above): automatic submission of a purchase order for a Listing that matches a Filter the User has explicitly marked for automatic buying, through the Marketplace or Proxy Service account designated by the User, without a confirmation request before each order. Section 9 applies. Priority Autobuy (Premier): where several Users' Autobuy Filters match the same Listing, the Premier User's order is submitted first.

Negotiation (Premier): sending of price offers or messages to a Seller in the User's name, on the User's instruction, through the Marketplace's own functions.

Priority Support (Premier): personal support handled per User, differing from standard support only in response time. Early Access to New Features (Premier): access to new or experimental Features before general release.

Intercontinental Warehouse Access (Premier): a Feature announced but not yet available; not covered by these Terms (section 4.5).

Members Chat: the message panel in the dashboard, subject to the chat rules published in the dashboard (section 11.3).

Live panel: indicative statistics in the dashboard.

3. Applicability and acceptance

3.1 These Terms apply to every use of the Service, including Free Trials. The User accepts them upon creating an Account and again upon ordering a Plan, each time by ticking the acceptance box.

3.2 The User must be at least 18 years of age and have legal capacity. Each Account is for one natural person. The Service is offered to individuals, who may use it for any lawful purpose.

3.3 The Privacy Policy at https://agor.as/privacy forms part of the Agreement.

3.4 Mandatory consumer law applicable to the User is not affected by these Terms. Where a provision conflicts with it, the mandatory rule prevails and the remaining provisions stay in force.

4. Nature of the Service

4.1 The Service collects publicly visible Listings from Marketplaces, filters them according to the User's Filters, displays them, converts prices for orientation, links to Proxy Services and, where the Plan includes it, submits orders or messages on the User's instruction.

4.2 Agoras does not buy, own, hold, ship or sell items, on any Plan. Every purchase is a contract between the User and the Seller and, where applicable, the Proxy Service. The User is always the buyer and every order is placed in the User's name. Agoras is not a Marketplace, escrow, payment service, agent, customs broker, carrier, authenticator, appraiser or adviser.

4.3 No result guarantee. Statements such as "one flip covers the month", margin figures, Recommended Filters and similar content illustrate possible uses of the Service and promise no income or other result.

4.4 No authenticity or condition claim. Agoras does not inspect items. A Listing that is not excluded or flagged is not represented as authentic; a Listing that is excluded or flagged is not represented as counterfeit. Despite the preselection of Sellers considered inauthentic, counterfeit items may remain in the Feed; this lies outside Agoras's control. The User completes a purchase only once satisfied of the item's authenticity; Agoras accepts no liability in this respect.

4.5 Intercontinental Warehouse Access is not covered by these Terms. It is governed by a separate Premier addendum to be accepted before the Feature is enabled.

5. Account and Free Trial

5.1 The User keeps the credentials confidential and is responsible for all activity through the Account. Upon notification of compromise Agoras may suspend the Account and reset the credentials. Agoras accepts no liability for loss caused by unauthorised use of the Account before notification or resulting from the User's failure to keep the credentials confidential. Sharing credentials, operating one Account for several persons and reselling access are strictly prohibited and may result in immediate termination of the Plan without refund of the current paid period.

5.2 Agoras may refuse, restrict or close an Account created with false information, by a person under 18, or by a person whose Account was previously closed for breach.

5.3 A Free Trial ends automatically, does not convert into a paid Plan and involves no charge. Agoras may end, restrict or refuse a Free Trial without giving reasons. One Free Trial per person.

5.4 Membership of the Discord server is additionally subject to Discord's own terms.

6. Fees and payment

6.1 Plans are sold per month at the fees displayed on https://agor.as/pricing at the time of the order. All fees include VAT.

6.2 Fees are payable in advance for each monthly period through Stripe. By ordering a Plan the User authorises Agoras to charge the payment method provided for the first period and for each automatic renewal. Stripe's terms apply to the payment transaction.

6.3 The Service is activated only once the first payment has been confirmed. If a renewal charge cannot be collected, the Plan does not renew and access ends at the end of the paid period; Agoras notifies the User, who may subscribe again at any time. Costs of a chargeback attributable to the User may be charged to the User.

6.4 Agoras may change the fee of a Plan for future periods with at least 30 days' notice by e-mail. A User who does not accept the new fee may cancel before it takes effect; continued use thereafter constitutes acceptance. No fee increase applies within the first three months after subscribing to a Plan.

6.5 Premier is limited to a fixed number of places; an order for Premier is concluded only upon direct confirmation by Agoras.

7. Term and cancellation

7.1 A Plan runs for one month from confirmation of the first payment and renews automatically for successive one-month periods until cancelled.

7.2 The User may cancel at any time, without minimum term or notice period, in the Account settings or by e-mail. Cancellation takes effect at the end of the current paid period; the User retains access until then. Fees for periods already paid are not refunded except as provided in sections 8, 12.2 and 12.3.

7.3 Upgrades take effect immediately with the fee difference charged pro rata; downgrades take effect at the next renewal.

7.4 Agoras may decline to renew a Plan by notifying the User before the end of the current paid period, and may suspend or terminate with immediate effect if the User materially breaches these Terms, if Agoras is legally required to do so, or if a Marketplace or Proxy Service takes measures that render provision of the Service to the User unlawful or impossible. Where Agoras terminates with immediate effect for a reason not attributable to the User, the unused part of the current period is refunded pro rata; where the reason is attributable to the User, no refund is made.

8. Right of withdrawal

8.1 The User may withdraw from the Agreement within 14 days of its conclusion without giving reasons (art. 6:230o Dutch Civil Code), by using the "Cancel subscription" function in the Account, which within those 14 days is labelled as withdrawal from the contract, by sending the form in Annex A, or by any other unequivocal statement to mail@agor.as. Agoras confirms receipt by e-mail.

8.2 The Service starts as soon as payment is confirmed. At checkout the User, separately from accepting these Terms, expressly requests immediate performance and acknowledges that, in case of withdrawal within 14 days, the User owes a proportionate amount for the period during which the Service was available, and that the right of withdrawal lapses once the first monthly period has been fully performed.

8.3 The proportionate amount equals the monthly fee divided by the number of days in the period, multiplied by the number of days from the start of the Service up to and including the day Agoras receives the withdrawal (art. 6:230s(3) Dutch Civil Code). Agoras refunds the remainder within 14 days by the payment method used.

8.4 The right of withdrawal exists only in the first 14 days after the first order and lapses in any case once the first monthly period has been fully performed (art. 6:230p(d) Dutch Civil Code). Renewals, upgrades and downgrades continue the same Agreement and do not give rise to a new right of withdrawal. A Free Trial involves no payment; withdrawal from it consists in closing the Account.

9. Autobuy and Negotiation

9.1 By enabling Autobuy or Negotiation the User instructs and authorises Agoras, as the User's technical tool, to submit orders, bids, offers and messages in the User's name and through the User's designated Marketplace or Proxy Service account whenever a Listing matches the Filter set for that purpose. Every resulting order is the User's own order; Agoras is not a party to it.

9.2 Autobuy does not request confirmation before each order. It orders whatever matches the Filter at the moment of the match, at the price displayed at that moment. Which Listings match a Filter, and whether they correspond to the User's expectations, lies outside Agoras's control.

9.3 The User bears the full financial consequences of every order placed through Autobuy or Negotiation, including duplicate, unintended, mis-described, counterfeit, repriced, cancelled or over-budget orders, and all Marketplace, Proxy Service, shipping, customs, import VAT and return costs. The User keeps Filters, spending limits, designated accounts and funds current and reviews orders promptly.

9.4 Agoras makes commercially reasonable efforts to execute Autobuy and Negotiation according to the User's settings. Marketplaces and Proxy Services may block, delay or reject automated actions without notice. Agoras does not guarantee that any order is submitted, accepted or completed, or that the User's order is first; Priority Autobuy only orders the sequence of submission among Users.

10. Marketplaces and third parties

10.1 The User alone decides how, where and whether to use the Service in relation to a Marketplace or Proxy Service. Agoras makes no representation that such use is permitted under the terms of any Marketplace or Proxy Service. The User is responsible for compliance with those terms and with applicable law, including import, customs, VAT, product-safety and resale rules, and bears any measure a Marketplace or Proxy Service takes against the User.

10.2 Agoras does not verify Sellers, Listings, prices, descriptions, photographs or authenticity. Listings are displayed as published and may be removed, sold, altered or fraudulent by the time the User views them. Spam / Fake Detection, Euro Conversion, Proxy Linking estimates, Recommended Filters, margin figures and Live panel statistics are indicative only; all such information is supplied without liability for faulty, incomplete or outdated content.

10.3 The User's contract with a Proxy Service is between the User and that provider. Proxy Services, Stripe, Google (Lens Button), the phone-alert provider, Discord and hosting providers are third parties; Agoras is not responsible for their availability, content, fees, performance or conduct.

11. Acceptable use and User content

11.1 The User shall not: share, sell or transfer the Account; use the Service for an unlawful purpose, including the purchase or resale of counterfeit, stolen or prohibited goods or the evasion of customs duties or VAT; scrape, copy, redistribute or resell data obtained from the Service or build a competing product from it; reverse-engineer, probe, circumvent rate limits or interfere with the Service; harass Sellers or Users or manipulate Marketplace listings; publish Feed content in public channels attributing it to Agoras or use the Agoras name or marks without permission; operate bots or scripts against the Service other than the Features provided; or make defamatory, unlawful or unfounded statements about identifiable persons through flags, the Members Chat or Discord. Breach entitles Agoras to suspend or terminate with immediate effect without refund of the current period.

11.2 Listings contain personal data of Sellers. The User uses such data only to evaluate and complete purchases through the Service; bulk export, profiling of Sellers and contacting Sellers outside the Marketplace's channels are prohibited.

11.3 By using the Members Chat the User undertakes to follow the chat rules published in the dashboard. A violation may result in temporary or permanent exclusion from the Members Chat; Agoras informs the User of the reasons, the User may object to mail@agor.as, and the final decision lies with Agoras. The User retains ownership of content posted in the Members Chat or on Discord and grants Agoras a non-exclusive, worldwide, royalty-free licence to store, display and moderate it. Agoras does not pre-screen user content and removes content it becomes aware is unlawful or in breach of these Terms. Content may be reported to mail@agor.as. Statements by Users are not made on behalf of Agoras.

12. Availability, modifications and conformity

12.1 The Service depends on Marketplaces, Proxy Services and providers outside Agoras's control. Agoras does not guarantee uninterrupted, timely or error-free operation. Marketplaces may block or change access at any time.

12.2 Agoras may modify Features, Marketplace coverage, Filter limits and the interface, and add or discontinue Features, to keep the Service operational, secure, lawful or competitive. Where a modification goes beyond what is necessary to maintain conformity and negatively affects the User's use of the Service more than trivially, Agoras gives 30 days' notice by e-mail and the User may terminate free of charge within 30 days of the notice or the modification, with a pro-rata refund of the current period (art. 7:50ai Dutch Civil Code). Early Access Features are provided for evaluation, may change or be withdrawn at any time and are excluded from any conformity commitment to the extent permitted by law.

12.3 Where the Service does not conform to the Agreement under Title 1AA of Book 7 of the Dutch Civil Code, the User may require restoration of conformity within a reasonable time and, failing that, a proportionate fee reduction or termination. These are the User's remedies for non-conformity; they do not extend to loss resulting from purchases, resales, third parties or the User's own settings (section 14).

13. Intellectual property and data protection

13.1 The Service, its software, databases, design, texts, the Agoras name and logo and all related rights belong to Agoras or its licensors. Marketplace names and logos belong to their owners and are used solely to identify the source of Listings. For the term of the Plan or Free Trial Agoras grants the User a personal, non-exclusive, non-transferable, revocable licence to use the Service for the User's own sourcing activity. Feedback provided by the User may be used by Agoras without restriction.

13.2 Agoras processes personal data as described in the Privacy Policy. Where the User designates a Marketplace or Proxy Service account or uses Autobuy or Negotiation, the User instructs Agoras to transmit the necessary data to the third party concerned.

14. Limitation of liability and indemnification

14.1 To the fullest extent permitted by applicable law, in no event shall Agoras or its service providers be liable for any indirect, incidental, special, consequential or exemplary damages, including lost profits, lost revenue, missed purchases, loss of data, loss of goodwill or cost of substitute services, arising out of or in connection with these Terms or the use of or inability to use the Service; nor for any loss arising from a purchase, order, bid, offer, message, resale or import made by or for the User, including through Autobuy or Negotiation; nor for any loss caused by Marketplaces, Sellers, Proxy Services, Stripe or other third parties, by the User's Filters, settings, designated accounts or credentials, by the inaccuracy of Listings or indicative data, by unavailability of the Service or a Marketplace, or by events beyond Agoras's reasonable control.

14.2 In any case, to the fullest extent permitted by applicable law, Agoras's total aggregate liability to the User, whatever the legal basis, shall not exceed the amount the User actually paid to Agoras in the month immediately preceding the event giving rise to the claim.

14.3 Sections 14.1 and 14.2 do not apply to liability that cannot be excluded or limited under mandatory law, including liability for intent or deliberate recklessness of Agoras.

14.4 The User indemnifies Agoras against third-party claims, fines, damages and reasonable legal costs arising from the User's breach of these Terms or applicable law, the User's orders, purchases, resales and content, and the User's breach of Marketplace or Proxy Service terms.

15. Amendments

Agoras may amend these Terms with at least 30 days' notice by e-mail and in the Service, indicating what has changed. A User who does not accept an amendment may cancel before it takes effect; continued use thereafter constitutes acceptance. Where an amendment materially reduces the User's rights or the Service paid for, the User may terminate free of charge with a pro-rata refund of the current period. Amendments required by law or that merely clarify wording may take effect immediately.

16. Governing law and jurisdiction

16.1 The Agreement is governed by the laws of the Netherlands, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. A User residing in another EU or EEA state retains the protection of the mandatory provisions of the law of that state.

16.2 Disputes are submitted to the competent court in the Netherlands or, at the User's election, to the competent court of the User's state of residence. Agoras brings proceedings against the User only in the courts of the User's state of residence.

16.3 Before initiating proceedings the User contacts mail@agor.as. Agoras is not bound to participate in alternative dispute resolution before a consumer ADR body.

17. Final provisions

17.1 These Terms, the Privacy Policy, the Plan ordered and, where applicable, the Premier addendum constitute the entire Agreement and supersede prior terms, offers and announcements.

17.2 If a provision is invalid, the remaining provisions remain in force and the invalid provision is replaced by a valid one that most closely reflects its purpose.

17.3 The User may not transfer the Account or the Agreement. Agoras may transfer the Agreement to a successor that continues the Service, including upon conversion into a company, and notifies the User.

17.4 The Agreement is concluded in English; translations are for convenience and the English text prevails unless the mandatory law of the User's state of residence provides otherwise. Agoras stores the Terms as accepted and sends them by e-mail with the order confirmation; the current version is at https://agor.as/terms.

17.5 Sections 4, 9.3, 10, 13, 14, 16 and 17 survive termination.
